Terms of Service for Harbourline Sound Studio

1. Introduction and Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the services, facilities, website, booking channels, and related offerings provided by Harbourline Sound Studio (“Harbourline Sound Studio,” “we,” “us,” or “our”), located at 41 Keong Saik Road, Singapore 089148.
By making a booking, entering our premises, using our equipment, engaging our services, or otherwise interacting with Harbourline Sound Studio, you agree to be bound by these Terms. If you do not agree, you must not use our services.
These Terms apply to all clients, artists, producers, podcasters, voice talent, businesses, and any other persons who use or access our services.
2. Scope of Services
Harbourline Sound Studio provides professional audio and recording services, which may include, without limitation:
- Vocal recording
- Music production
- Audio mixing
- Mastering
- Podcast recording and editing
- Voice-over recording
- Jingle and commercial audio production
The exact scope, deliverables, timelines, and technical specifications for each project will be agreed in writing, by email, quotation, invoice, booking confirmation, or other documented communication. Any services not expressly included in the agreed scope are excluded unless separately approved by Harbourline Sound Studio.
We may use third-party tools, software, plugins, platforms, or contractors where reasonably necessary to deliver the services, subject to applicable law and any agreed confidentiality obligations.
3. User Obligations and Responsibilities
You agree that you will:
- Provide accurate, complete, and up-to-date information when making a booking or engaging our services;
- Arrive on time for sessions and comply with studio rules, safety instructions, and staff directions;
- Ensure that any materials you provide, including audio files, scripts, lyrics, artwork, samples, and reference tracks, do not infringe any third-party rights;
- Obtain all necessary permissions, releases, licences, and consents for any content, performances, or recordings you supply or request us to record;
- Not bring prohibited items, illegal substances, weapons, or hazardous materials into the studio;
- Use the studio equipment and premises responsibly and only for lawful purposes;
- Be responsible for the conduct of your guests, collaborators, talent, and representatives;
- Promptly notify us of any errors, concerns, or issues relating to the services.
You are solely responsible for the legality, accuracy, and suitability of all content you submit or request us to process. We are not responsible for reviewing content for legal compliance, clearance, defamation, obscenity, or intellectual property infringement unless expressly agreed in writing.
You must not:
- Damage, misuse, tamper with, or attempt to reverse engineer our equipment, software, or systems;
- Record or transmit any material that is unlawful, defamatory, threatening, abusive, obscene, or otherwise objectionable;
- Interfere with the operation of the studio or the experience of other clients;
- Use our services for fraudulent, misleading, or unlawful purposes.
4. Payment Terms and Conditions
Fees for services will be communicated in our quotation, rate card, invoice, or booking confirmation. Unless otherwise stated, all prices are in Singapore Dollars (SGD).
- Bookings may require a deposit or full prepayment to confirm the session.
- All invoices are payable by the due date stated on the invoice or booking confirmation.
- Where no due date is specified, payment is due immediately upon invoice issuance.
- Late payments may result in suspension of services, withholding of deliverables, cancellation of bookings, and/or late payment charges to the extent permitted by law.
- Any bank charges, payment gateway fees, foreign exchange charges, or transfer fees shall be borne by you unless otherwise agreed.
We reserve the right to adjust prices, rates, and package inclusions at any time. However, confirmed bookings will generally be charged at the rates agreed at the time of confirmation, unless the scope changes or additional services are requested.
If you request additional revisions, extra studio time, out-of-scope editing, expedited delivery, or other supplementary work, additional charges may apply.
5. Cancellation and Refund Policy
Cancellations and rescheduling requests must be made in writing by email or through our designated booking channel. The following policy applies unless a different cancellation arrangement is stated in writing for a specific project:
- If you cancel more than 72 hours before the scheduled session, any deposit may be partially refundable at our discretion, less any non-recoverable costs or administrative fees.
- If you cancel between 24 and 72 hours before the scheduled session, the deposit may be forfeited in whole or in part.
- If you cancel less than 24 hours before the scheduled session, or fail to attend, the full session fee or deposit may be forfeited.
- Rescheduling is subject to availability and may incur an administrative fee.
Refunds are generally not provided for services already rendered, time already reserved, or digital deliverables that have been supplied, except where required by applicable law or where Harbourline Sound Studio expressly agrees otherwise in writing.
If we cancel a booking due to operational reasons, we will use reasonable efforts to offer a rescheduled session or refund any prepaid amount for the cancelled portion of the service, subject to applicable law.
6. Liability Limitations
To the maximum extent permitted by Singapore law, Harbourline Sound Studio shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive losses or damages, including loss of profits, loss of business, loss of goodwill, loss of data, or loss of opportunity, arising out of or in connection with the services or these Terms.
To the maximum extent permitted by law, our total aggregate liability for any claim arising from or relating to the services shall not exceed the amount paid by you to Harbourline Sound Studio for the specific service giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Singapore law, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence where such limitation is prohibited by law.
We do not guarantee that any recording, mix, master, or other deliverable will achieve any particular commercial outcome, platform approval, broadcast acceptance, chart performance, or audience response.
You acknowledge that audio production is a creative and subjective process, and results may vary depending on source material, performance quality, technical conditions, and client feedback.
7. Intellectual Property Rights
Unless otherwise agreed in writing, all pre-existing intellectual property, including our studio methods, templates, workflows, proprietary processes, and any equipment or software used by Harbourline Sound Studio, remains our property or the property of our licensors.
You represent and warrant that you own or have obtained all necessary rights to any content you provide to us, including music, lyrics, recordings, scripts, voice performances, samples, logos, and other materials.
Subject to full payment of all applicable fees, and unless otherwise agreed in writing:
- You will own the final deliverables specifically created for you, to the extent permitted by law and subject to any third-party rights, licences, or embedded materials;
- Harbourline Sound Studio retains ownership of any underlying tools, session files, project templates, raw materials, and working files unless expressly transferred in writing;
- We may retain copies of project files for backup, archival, quality control, dispute resolution, and operational purposes.
If a project involves third-party samples, stock audio, licensed beats, plugins, or other licensed materials, your use of the deliverables may be subject to the applicable third-party licence terms. You are responsible for ensuring that your intended use complies with those terms.
Unless you notify us otherwise in writing, you grant Harbourline Sound Studio a non-exclusive, royalty-free licence to use your name, project title, and non-confidential excerpts of completed work for portfolio, promotional, and marketing purposes, subject to any confidentiality agreement or written restriction.
8. Data Protection and Privacy
Harbourline Sound Studio collects, uses, stores, and discloses personal data in accordance with the Personal Data Protection Act 2012 of Singapore (“PDPA”) and our internal privacy practices.
We may collect personal data such as your name, contact details, billing information, booking history, session notes, communications, and any other information necessary to provide the services, manage our business, and comply with legal obligations.
We may use your personal data for the following purposes:
- Processing bookings and delivering services;
- Managing payments, invoicing, and accounting;
- Communicating with you about projects, schedules, and support;
- Maintaining records and improving service quality;
- Complying with legal, regulatory, tax, and audit requirements;
- Sending marketing communications where permitted by law and where you have not opted out.
We take reasonable security measures to protect personal data, but no method of transmission or storage is completely secure. By using our services, you acknowledge and accept this risk.
Where we engage third-party service providers, they may process personal data on our behalf subject to appropriate safeguards. If you provide personal data of third parties, you confirm that you have obtained all necessary consents and authorisations.
You may contact us to request access to or correction of your personal data, subject to applicable legal exceptions and verification requirements.
9. Force Majeure
Harbourline Sound Studio shall not be liable for any delay, failure, or interruption in performance caused by events beyond our reasonable control, including but not limited to fire, flood, power failure, equipment breakdown, internet outage, pandemic, epidemic, government action, labour dispute, civil unrest, natural disaster, or acts of God.
If a force majeure event occurs, we may suspend, reschedule, or cancel affected services without liability, and we will use reasonable efforts to notify you and minimise disruption.
10. Changes to Terms
We may update or revise these Terms from time to time to reflect changes in our services, business practices, or legal requirements. The updated Terms will take effect upon posting or upon notice to you, as applicable.
Your continued use of Harbourline Sound Studio’s services after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our services.
11. Applicable Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Singapore.
Any dispute arising out of or in connection with these Terms or the services shall be subject to the exclusive jurisdiction of the courts of Singapore, unless the parties agree in writing to submit the dispute to mediation, arbitration, or another dispute resolution process.

13. Severability Clause
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or competent authority, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
Where possible, any invalid or unenforceable provision shall be replaced by a valid provision that most closely reflects the original intent and commercial purpose of the affected provision.
